Terms of Service

Last updated10/9/2026

1. Agreement & acceptance

These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and ICVR LLC, operator of Craftology ("Craftology," "we," "us," "our"), governing your access to and use of the Craftology platform, websites, applications, and APIs (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

Order of precedence: if you and Craftology have signed a Master Services Agreement, order form, or other written agreement ("Enterprise Agreement"), that agreement governs and prevails over these Terms to the extent of any conflict. Processing of personal data is governed by our Data Processing Addendum ("DPA").

2. Definitions

  • Account — your registered access to the Service.
  • Service — the Craftology platform, sites, applications, APIs, and documentation.
  • Credits — "Craftology Credits," the prepaid units you purchase and consume to access metered features and model generations.
  • Generation — a request that produces Output and consumes Credits at our then-current rates.
  • Order Form / Enterprise Agreement — a signed commercial agreement between you and Craftology.
  • Input — prompts, text, images, audio, video, files, and other materials you submit to the Service.
  • Output — content generated by the Service in response to your Input.
  • User Content — your Input and Output collectively, and any other content you upload, create, or store.
  • Documentation — usage guides and materials we publish for the Service.
  • Subprocessor — a third party that processes data to help provide the Service (see Subprocessors).

3. Eligibility & accounts

You must be at least 13 years old (and meet any higher digital-consent age applicable in your jurisdiction — see the Privacy Policy) to use the Service. You agree to provide accurate, complete information; to keep it current; to maintain the confidentiality of your credentials; and to be responsible for all activity under your Account. Notify us promptly of any unauthorized use. One person or entity per Account unless we agree otherwise in writing.

4. License to use the Service

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal creative purposes, including creating and commercially using Output as permitted below. You may not: (a) reverse engineer, decompile, or attempt to extract the Service's source code, AI models, weights, or proprietary prompts; (b) resell, sublicense, or provide the Service to third parties except as expressly permitted; (c) remove proprietary notices; (d) use the Service to build a competing product or model; or (e) exceed or circumvent usage limits, rate limits, or quotas.

Enterprise evaluation. The restrictions above do not prohibit an enterprise or prospective enterprise customer from conducting private benchmarking, security testing, workflow evaluation, or technical assessment of the Service for its own internal diligence, provided the activity is carried out under a written agreement or NDA with Craftology (or with our prior written approval) and the results are not publicly disclosed. Public benchmarking or public disclosure of performance metrics remains prohibited except with our prior written consent.

5. Craftology Credits, fees & payment

Craftology supports two commercial models. For self-serve users, access to metered features and model generations is powered by Craftology Credits, as described in this Section. For enterprise and studio customers, the commercial relationship is governed by a Master Services Agreement, Order Form, the DPA, and our security commitments; where Credits or metered usage are used under those agreements, they function as an operational billing mechanism rather than the primary commercial terms, and the Order Form prevails on pricing, caps, and payment (see §22).

Craftology is not sold as a recurring subscription. Access to metered features and model generations is powered by Craftology Credits, which you purchase in advance.

  • How Credits work. Each Generation or metered feature consumes Credits at the rate displayed in the Service at the time you initiate it, which reflects factors such as the model used and the compute, tokens, or output produced. Because our costs depend on third-party model-inference and infrastructure providers, Credit prices and consumption rates may change at any time. Any change is prospective only — it applies to Generations and Credit purchases made after the change, and we never devalue or claw back Credits you have already purchased (their value in Credits is fixed, though the number of Generations a given balance buys may change going forward). You will always see the current Credit cost in the Service before you incur it. Where required by law we give consumers notice of changes; for enterprise customers, Order Form pricing prevails.
  • Nature of Credits. Credits are a limited right to access the Service. They are not money, not a deposit, and not a stored-value or gift-card instrument, have no cash value, are non-transferable and non-exchangeable, and are not redeemable for cash except where required by law. Buying Credits is a purchase of Service access, not a general-purpose payment instrument.
  • Purchase & payment. You authorize us and our payment processors to charge your payment method for Credits you buy. Prices are exclusive of taxes; you are responsible for applicable taxes other than our income taxes.
  • Consumption, reservation & reconciliation. When a Generation starts, the estimated Credits are reserved (held) from your balance. On success, the reserved Credits are charged; on error or failure, the reservation is released and refunded to your balance — so you are only charged for successful Generations. If your balance is insufficient, generations will not run until you buy more. We run a daily reconciliation of reservations, charges, and refunds against actual usage; you may request an additional reconciliation review of your account by email to support@craftology.io.
  • Spend management (enterprise / production). For enterprise and studio customers, the Service and/or your Order Form may provide spend-management controls, including team and per-project budgets, consumption caps, approval workflows for high-cost Generations, usage export, and periodic reconciliation and finance reporting. The availability and configuration of these controls are as described in the Service documentation or your Order Form.
  • No expiration. Purchased Credits do not expire. Promotional or bonus Credits may carry a stated expiry, which we disclose when they are granted.
  • Refunds. Credit purchases are non-refundable during the life of your Account. The only refund we provide is on closure/termination of your Account: if you close your Account, or we terminate it without cause, we refund the value of your unused, purchased Credits — calculated at the price you paid, excluding promotional/bonus Credits and any Credits already consumed — to your original payment method where practicable. No refund is due where we terminate or suspend your Account for your breach, policy violation, non-payment, or fraud. Your statutory consumer rights (e.g., EU/UK cooling-off/withdrawal) are unaffected.
  • Promotional Credits. We may grant promotional or bonus Credits that are non-refundable, may expire, and may be revoked for abuse.
  • Non-payment, chargebacks & fraud. We may suspend the Service and revoke Credits for failed payments, chargebacks, or fraudulent activity.
  • Enterprise. Credits may also be provisioned under an Enterprise Agreement or Order Form, whose commercial terms prevail.

6. User Content & your rights

As between you and Craftology, you retain all rights to your User Content. We do not claim ownership of it. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process your User Content solely to provide, secure, and support the Service — including via our Subprocessors — and for no other purpose. You represent that you have the rights necessary to submit your User Content and that it does not violate law or third-party rights or our Content Policy.

7. Artificial intelligence: Inputs, Outputs & training

  • Ownership of Output. As between you and Craftology, you own the Output you generate, subject to third-party rights and applicable law. Our license in Section 6 is limited to operating the Service and does not give us ownership of your Output.
  • No exclusivity / originality. Because the Service uses generative AI, Output may not be unique — other users may generate similar or identical Output. We do not warrant that Output is original or free of third-party rights, and you are responsible for reviewing and clearing rights before using Output commercially or publicly.
  • Accuracy. AI can produce inaccurate, incomplete, or unexpected results. Do not rely on Output as professional (legal, medical, financial, etc.) advice; verify before use.
  • Training. We do not use your private User Content (Inputs or Outputs) to train our or third parties' AI models without your explicit, opt-in permission, consistent with the Privacy Policy. Where you opt in, you may withdraw consent as described there.
  • Acceptable AI use. Your use of the Service's AI features is subject to the Content Policy, including its rules on likeness, deepfakes, minors, and IP.
  • Provenance records (“Asset Birth Certificate”). The Service can generate a provenance record for an Output that documents how it was created. Where available, this record maps to the Service’s own generation data and may include the project and asset identifiers (for example, project ID, asset or Conversation ID, and request ID), the model and provider used, the prompts and input references supplied, the variations produced, and the human-review, approval, and any clearance or risk-scoring state recorded in the Service. Its purpose is to give you a verifiable, exportable account of an asset’s creation to support your internal review, rights-clearance, and audit workflows. This record reflects generation metadata as recorded by the Service; it is not a warranty of originality, authorship, ownership, or non-infringement (see the originality disclaimer above). You control whether and with whom you share a provenance record, and are responsible for such sharing, including any confidential or third-party material it may reveal.
  • AI-generation marking. Output may include machine-readable markings or provenance metadata (e.g., Content Credentials) indicating it was AI-generated, as required by applicable law such as the EU AI Act. You may not remove, alter, or falsify these markings, and you are responsible for making any AI-generation disclosure required when you publish or distribute Output.

8. Acceptable use

You agree to use the Service lawfully and in accordance with the Content Policy, which is incorporated by reference. Without limiting it, you may not use the Service to create or distribute content that is illegal, infringing, harmful, or otherwise prohibited there; to harass or impersonate; to distribute malicious code; or to compromise the Service's security or integrity.

9. Feedback

If you give us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

10. Third-party services & models

The Service integrates third-party services and AI models. Your use of them may be subject to those third parties' terms, and we are not responsible for third-party services. We select and manage inference providers as described in our Subprocessors list and internal vendor-review process, but we do not control third-party terms.

11. Our intellectual property

The Service, including all software, models, weights, interfaces, designs, and trademarks, is owned by Craftology (ICVR LLC) or its licensors and protected by law. Except for the limited license in Section 4, we grant you no rights in our intellectual property.

12. Confidentiality

Each party may receive the other's confidential information. For enterprise/studio customers, pre-release creative content and related materials are your confidential information, handled per these Terms, the Content Security commitments, and the DPA. Each party will protect the other's confidential information using at least reasonable care and use it only to perform under these Terms.

13. Term & termination

These Terms apply while you use the Service. You may stop using the Service and close your Account at any time. Either party may terminate for material breach not cured within 30 days of notice. On termination: your license ends; you may export your User Content for 30 days; and we will delete or return User Content per the Data Retention & Disposal Policy and the DPA. Unused, purchased Credits are refunded on termination as described in §5 (Refunds) — except where we terminate or suspend for your breach, policy violation, non-payment, or fraud, in which case unused Credits are forfeited. Sections that by their nature should survive (e.g., ownership, disclaimers, limitation of liability, indemnity, confidentiality, governing law) survive termination.

14. Suspension

We may suspend or restrict the Service, in whole or in part, for: (a) a violation of these Terms or the Content Policy; (b) non-payment; (c) a security, legal, or fraud risk; or (d) as required by law. Where practicable we will give notice and limit the scope and duration of suspension.

15. Copyright / DMCA

We respond to valid notices of alleged copyright infringement and terminate repeat infringers where appropriate. Send notices to our designated agent at [legal@craftology.io / DMCA agent + address] with the information required by applicable law.

16. Warranties & disclaimers

The Service and Output are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy or availability of the Service or Output, to the maximum extent permitted by law.

17. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, or goodwill. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to Craftology for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to payment obligations, either party's indemnification obligations, breach of confidentiality, or a party's fraud or willful misconduct.

18. Indemnification

You will defend and indemnify Craftology and its affiliates from third-party claims and resulting losses arising from your User Content, your use of the Service, or your violation of these Terms or law.

19. Export controls & sanctions

You represent that you are not located in, and will not use the Service in, a jurisdiction subject to comprehensive sanctions, and that you are not on a restricted-party list. You will comply with applicable export-control and sanctions laws.

20. Governing law, venue & dispute resolution

These Terms are governed by the laws of California, USA, excluding conflict-of-laws rules. Nothing limits either party's right to seek injunctive relief for IP or confidentiality breaches.

21. Changes to these Terms

We may update these Terms. For material changes we will provide reasonable advance notice (e.g., by email or in-product notice) and, where required, obtain consent. Continued use after changes take effect constitutes acceptance.

22. Enterprise terms & precedence

For customers under an Enterprise Agreement or Order Form, those documents (and the DPA) prevail over these Terms to the extent of any conflict, including on data processing, security commitments, service levels, and liability.

23. Notices

Legal notices to Craftology must be sent to ICVR LLC, 501 S Beverly Dr., Beverly Hills, CA 90212, USA, Attn: Legal, and to legal@craftology.io. We may give you notice via your Account email or in-product.

24. Miscellaneous

These Terms (with any Enterprise Agreement, the Privacy Policy, Content Policy, and DPA) are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
